Terms of Service

1. Introduction & Acceptance

Welcome to AlignHQ, a SaaS change management platform operated by AlignHQ, Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the AlignHQ platform, including our website at alignhq.net, our application at alignhqocm.net, and all related services.

By accessing, viewing, or using AlignHQ, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the service. Your use of the service constitutes your acceptance of these Terms, as may be modified from time to time.

3. Account Registration

3.1 Registration Requirements

To create an Account, you must provide accurate, current, and complete information. You represent and warrant that all information you provide is truthful and that you have the authority to bind yourself to these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials, including your password. You agree to notify us immediately of any unauthorized access or use of your Account. You are liable for all activities that occur under your Account, whether authorized or not.

3.3 One Account Per Person

You may only create one Account per individual. Creating multiple Accounts to circumvent service limitations, pricing tiers, or trial restrictions is prohibited and may result in Account termination.

4. Free Trial

4.1 Trial Period

AlignHQ offers a 5-day free trial for all subscription plans (Starter, Professional, and Enterprise). During the trial period, you have full access to all features available in your selected plan.

4.2 Trial Expiration

Your trial access automatically expires after 5 days. To continue using the Service, you must subscribe to a paid plan. No credit card is required to start a free trial.

4.3 Trial Limitations

Free trial access may not be extended or renewed. Once a trial expires, you must sign up for a paid Subscription to regain access. Trial features and limitations are subject to change at our sole discretion.

5. Subscriptions & Billing

5.1 Plans and Pricing

AlignHQ offers the following subscription plans:

5.2 Billing Process

Billing is processed through Stripe, our payment processor. You authorize us to charge your selected payment method on a monthly basis, recurring each month unless you cancel your Subscription. A valid payment method is required to maintain an active Subscription.

5.3 Monthly Billing

All Subscriptions are billed monthly. Your billing cycle renews automatically on the same day each month unless you cancel before the renewal date.

5.4 Cancellation Policy

You may cancel your Subscription at any time. Cancellation is effective immediately, but you will retain access to the Service through the end of your current billing period. After the billing period ends, your Account will be downgraded to a free tier (if available) or access will be terminated.

5.5 No Refunds

We do not offer refunds for partial months or unused portions of your Subscription. Once a billing cycle begins, payment is non-refundable. If you cancel mid-cycle, you will continue to have access until the end of the billing period.

5.6 Price Changes

We reserve the right to change pricing for our plans. Any price increases will be announced at least 30 days in advance. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing. If you do not agree with the new pricing, you may cancel your Subscription within the 30-day notice period without penalty.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes:

• Illegal Activity: Using the Service to engage in or promote illegal activities of any kind.
• Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or otherwise discover the source code or underlying algorithms of the Service.
• Unauthorized Access: Attempting to gain unauthorized access to the Service, other user accounts, or our systems.
• Automated Scraping: Using automated tools, bots, or scrapers to access, download, or extract data from the Service without permission.
• Credential Sharing: Sharing your Account credentials with unauthorized third parties or using another user's credentials.
• Malware and Harmful Content: Uploading, transmitting, or distributing viruses, malware, or any content intended to damage or disrupt the Service.
• Harassment and Abuse: Using the Service to harass, threaten, defame, or abuse other users.
• Spam: Sending unsolicited or malicious communications through the Service.

Violations of these Acceptable Use terms may result in immediate suspension or termination of your Account.

7. User Content & Data

7.1 Ownership

You retain all ownership rights to the Content you upload, create, or store within the Service. AlignHQ does not claim any ownership over your Content.

7.2 Limited License

By using the Service, you grant AlignHQ a limited, non-exclusive, royalty-free license to access, process, store, and analyze your Content solely for the purpose of providing the Service to you. This license does not permit us to use your Content for marketing, advertising, or any purpose beyond operating and improving the Service.

7.3 Data Backup Responsibility

While we maintain reasonable data security practices and store Content in Firebase and Google Cloud infrastructure, you are responsible for maintaining backups of your Content. AlignHQ is not liable for loss of data due to hardware failure, system errors, or other causes beyond our reasonable control.

7.4 Data Retention Upon Termination

Upon termination or cancellation of your Account, your Content will be retained for 30 days. During this period, you may download or export your data. After 30 days, we will delete your data from our systems, unless legally required to retain it.

8. Intellectual Property

8.1 Platform Ownership

AlignHQ owns all intellectual property rights in the Service, including all software, code, user interface, user experience design, graphics, layout, structure, and documentation. These assets are protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"AlignHQ" and related logos, icons, and brand identifiers are trademarks of AlignHQ, Inc. You may not use these trademarks without our prior written permission.

8.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, or publicly perform any portion of the Service without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review the Privacy Policy to understand our privacy practices. In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy shall govern matters of data collection and privacy.

10. Service Availability

10.1 Best Efforts

We use reasonable efforts to keep the Service available and operational. However, we do not guarantee uninterrupted or error-free access. The Service may be unavailable due to maintenance, system errors, or circumstances beyond our control.

10.2 No 100% Uptime Guarantee

While we aim to maintain high availability, we do not guarantee 100% uptime. We are not liable for damages resulting from temporary outages, service interruptions, or downtime.

10.3 Scheduled Maintenance

We may perform scheduled maintenance on the Service. We will make reasonable efforts to notify you of scheduled maintenance in advance, typically 48 hours prior to the maintenance window.

10.4 Force Majeure

We are not liable for any failure to perform our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, acts of war, pandemics, government actions, or major infrastructure failures.

11. Limitation of Liability

11.1 "As Is" Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No Guarantees

We make no guarantee that the Service will meet your specific requirements, operate without interruption, or be error-free. Your use of the Service is entirely at your own risk.

11.3 Liability Cap

Except where prohibited by law, our total liability to you for all claims arising out of or relating to these Terms or your use of the Service shall not exceed the total fees you have paid to AlignHQ in the 12 months preceding the claim.

11.4 No Indirect Damages

In no event shall AlignHQ be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of revenue, loss of data, or loss of business, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless AlignHQ and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or relating to:

• Your use of the Service in violation of these Terms
• Your violation of applicable laws or regulations
• Your Content or your actions related to your Content
• Your infringement of any third-party intellectual property rights
• Any claim that your Content caused harm to a third party

13. Termination

13.1 Termination by You

You may terminate your Account at any time by logging into your Account settings or by contacting us at support@alignhq.net. Termination is effective immediately.

13.2 Termination by AlignHQ

We may suspend or terminate your Account immediately if you violate these Terms, engage in illegal activity, abuse the Service, or violate our Acceptable Use Policy. We will make reasonable efforts to notify you of the termination.

13.3 Effects of Termination

Upon termination, your right to access and use the Service ends immediately. You will no longer have access to your Account or Content. However, you may export your Content within 30 days of termination.

13.4 Survival

Sections 7 (User Content & Data), 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) shall survive termination of these Terms.

14. Modifications to Terms

AlignHQ reserves the right to modify these Terms at any time. We will notify you of material changes at least 30 days in advance by posting the updated Terms on our website or by sending you an email notification. Your continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms. If you do not agree with the changes, you may cancel your Subscription during the 30-day notice period.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any legal action or dispute.

16. Dispute Resolution

16.1 Good Faith Negotiation

In the event of any dispute between you and AlignHQ, the parties agree to first attempt to resolve the dispute through good faith negotiation. Either party may initiate negotiations by sending a written notice describing the dispute to the other party.

16.2 Binding Arbitration

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration. The arbitration shall be conducted in accordance with the American Arbitration Association (AAA) rules, with one arbitrator, in the State of Texas. Both parties agree to be bound by the arbitrator's decision.

16.3 Injunctive Relief

Notwithstanding the above, either party may seek injunctive relief from a court of competent jurisdiction to prevent irreparable harm, including breaches of intellectual property rights.
